These Terms constitute a legally binding agreement between you ("Client" or "User") and Proximal Solution LLC, a Limited Liability Company registered in the State of New Mexico. These terms apply to all services offered, including but not limited to Tax Preparation, Bookkeeping, Virtual CFO services, LLC Formation, and ITIN applications. If you do not agree to these terms, you are prohibited from using this website or our services.
2 Disclaimer & No Professional Advice
2.1 No Legal or Attorney-Client Relationship
Proximal Solution LLC is a financial services and business consulting firm. We are not a law firm, and our employees are not acting as your attorneys. No content on this website or communication with our team constitutes legal advice. For legal matters, you should consult a licensed attorney.
2.2 Third-Party Designee
For tax and formation services (such as EIN and ITIN applications), we act as a "Third Party Designee" pursuant to IRS regulations. This authorizes us to prepare and submit applications on your behalf, but the legal liability for the accuracy of the information remains with you.
2.3 No Guarantee of Results
While we employ industry-standard practices and verified CPAs/Accountants, we cannot guarantee specific outcomes with government agencies (e.g., the IRS or State Departments) as final decisions rest with those authorities. Additionally, our Virtual CFO and Business Intelligence services provide strategic forecasting, but we do not guarantee specific profit margins or business growth.
3 Scope of Services
3.1 Tax Preparation
We prepare IRS Forms (1040, 1120, 5472, etc.) based exclusively on the data you provide. We do not audit or verify your data. You are responsible for maintaining the documentation (receipts, logs) necessary to prove your income and deductions in the event of an audit.
3.2 Bookkeeping & Virtual CFO
Our bookkeeping services rely on the transaction data provided via your bank feeds or document uploads. We are not responsible for errors resulting from missing statements, unclassified cash transactions, or commingled personal/business funds.
3.3 LLC Formation & ITIN
We will file the necessary paperwork with the State of New Mexico (or other jurisdictions) and the IRS. We are not responsible for delays caused by government backlogs, mail carrier failures, or "Name Unavailable" rejections if you did not perform a prior trademark search.
4 Client Responsibilities & Accuracy
4.1 Accuracy of Information
You agree to provide true, accurate, current, and complete information. Proximal Solution LLC is not liable for any government penalties, interest, or rejection of applications resulting from incorrect, incomplete, or false information provided by the Client.
4.2 Timeliness
You agree to submit requested documents significantly prior to regulatory deadlines. We reserve the right to charge "Rush Fees" or refuse service if documents are submitted too close to a filing deadline (e.g., submitting tax data on April 14th).
4.3 Illegal Activity
You may not use our services for money laundering, tax evasion, or any unlawful purpose. We reserve the right to terminate services immediately and report to authorities if we suspect illegal activity.
5 Fees, Payments, and Refund Policy
5.1 Fees & Recurring Billing
All fees are due in full and in advance. Prices are listed in U.S. Dollars. For monthly services (Bookkeeping/CFO), you authorize us to charge your payment method on file at the start of every billing cycle. You must provide 30 days' notice to cancel recurring services.
5.2 Government Fees
Filing fees paid to the State or IRS (e.g., LLC filing fee) are strictly non-refundable once the payment has been processed, even if the application is later rejected by the agency.
5.3 Comprehensive Refund Policy

| Submission Complete: Application already submitted to State/IRS. | No Refund (Service is considered fully rendered). |
| ITIN/EIN Delays: Delays caused solely by the IRS. | No Refund. We cannot control IRS processing speeds. |
6 Intellectual Property
All content on this website, including text, graphics, logos, software, and proprietary financial models/templates used in our CFO services, is the property of Proximal Solution LLC and protected by copyright laws. You retain ownership of your financial data. Upon termination of services and full payment of outstanding fees, we will provide you with your ledgers and filed returns in a standard format.
7 Limitation of Liability
To the fullest extent permitted by New Mexico law, Proximal Solution LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages. Cap on Liability: In no event shall our total liability to you exceed the amount you have paid to us for the service giving rise to the claim during the six (6) months prior to the claim.
8 Indemnification
You agree to indemnify, defend, and hold harmless Proximal Solution LLC from any claims, liabilities, and expenses arising from: Your use of the Website or Services; Your violation of these Terms; Inaccurate or fraudulent data you provided to us; Any tax penalties or interest assessed against you by a taxing authority.
9 Dispute Resolution & Governing Law
These Terms are governed by the laws of the State of New Mexico. Any dispute shall be resolved through binding arbitration in Albuquerque, New Mexico. You agree to waive any right to a jury trial or to participate in a class action lawsuit.
10 Electronic Communications
By using our services, you consent to receive communications from us electronically via email, WhatsApp, or SMS. You agree that all agreements, notices, and disclosures we provide to you electronically satisfy any legal requirement that such communications be in writing.
